End User License Agreement

TacMatrix Applications — Lionheart LLC Effective date: [DATE]

This agreement is between Lionheart LLC ("Lionheart") and the organization or individual that has purchased or been granted a license ("Licensee"). It covers every application published under the TacMatrix name, including EP ADVANCE, EP ADVANCE Lite, OVERWATCH, BENCHMARK, and SIGHTLINE (the "Software"). By installing or using the Software, you accept this agreement. If you are installing it for an organization, you confirm you are authorized to accept on its behalf.

1. License grant

Subject to payment and these terms, Lionheart grants Licensee a non-exclusive, non-transferable, revocable license to install and use the Software for Licensee's internal operational and training purposes, limited to the number of named users in the purchased tier and the license term.

2. What you may not do

Licensee will not, and will not permit anyone to:

  • Copy, distribute, sublicense, rent, lease, or lend the Software.
  • Reverse engineer, decompile, extract source code from, or create derivative works of the Software, except where law expressly permits.
  • Share a single named-user seat among multiple people.
  • Use the Software to build a competing product or to train an AI system.
  • Remove or alter any proprietary notices.
  • Use the Software for any unlawful purpose.

3. Users and seats

Each seat is assigned to one named person. Licensee may reassign a seat when the user's role changes or they leave the organization. Licensee is responsible for the conduct of its users and for keeping its seat count within the licensed tier.

4. Term and renewal

Subscription licenses run for the purchased term and renew automatically unless cancelled. One-time licenses (EP ADVANCE Lite) do not expire and include updates for the current major version. Enterprise terms are stated in the quote.

5. Updates and support

Lionheart may release updates and will make reasonable efforts to keep the Software compatible with current iOS and iPadOS versions during the license term. Email support is included at contact@tacmatrix.com with a target response of one business day. Lionheart is not obligated to add features, support obsolete operating systems, or provide on-site services unless agreed in writing.

6. Licensee data

Licensee owns all data it enters into the Software. By default, data is stored on Licensee's devices. If Licensee enables sync, Licensee grants Lionheart a limited license to host and process that data solely to provide the service. Lionheart will not access synced data except to provide support Licensee requests, to maintain the service, or as required by law. Licensee is solely responsible for determining whether its data may be stored in the Software or synced to the cloud under its agency policies, CJIS requirements, or other rules that apply to it. Data handling is further described in the Privacy Policy.

7. Operational disclaimer

The Software is a planning, briefing, and training aid. It does not make tactical decisions, verify the accuracy of maps, imagery, or user-entered information, or replace agency policy, command authority, professional judgment, or training. Map and satellite imagery come from third parties and may be outdated or inaccurate. Licensee is responsible for verifying all information before relying on it in an operation.

8. Warranty disclaimer

The Software is provided "as is" and "as available." Lionheart disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Lionheart does not warrant that the Software will be uninterrupted, error-free, or free of harmful components.

9. Limitation of liability

To the fullest extent permitted by law, Lionheart's total liability under this agreement is limited to the license fees paid by Licensee in the 12 months before the claim. Lionheart is not liable for indirect, incidental, special, punitive, or consequential damages, including loss of data, loss of use, personal injury, property damage, or operational outcomes, even if advised of the possibility.

10. Indemnification

Licensee will defend, indemnify, and hold harmless Lionheart and its members, employees, and contractors from claims arising out of Licensee's operations, training, or use of the Software, except to the extent caused by Lionheart's gross negligence or willful misconduct. Government licensees are bound by this section only to the extent permitted by applicable law.

11. Confidentiality

Each party will keep the other's non-public information confidential and use it only for purposes of this agreement. Lionheart's pricing, roadmap, and unreleased features are confidential. Licensee's operational data is confidential. This section does not restrict disclosures required by law or public records statutes, provided the disclosing party gives notice where legally permitted.

12. Ownership

The Software, including all code, designs, trademarks, and documentation, is owned by Lionheart and protected by copyright and other intellectual property laws. This agreement grants a license only. Any feedback Licensee provides may be used by Lionheart without restriction.

13. Apple and third-party terms

Where the Software is delivered through the App Store, TestFlight, or Apple Business Manager, Apple's terms also apply, and Apple is not responsible for the Software, its support, or any claims related to it. Map imagery is subject to Google's terms of service.

14. Termination

Lionheart may terminate this license for non-payment or material breach after written notice and 15 days to cure. Licensee may terminate by cancelling its subscription. On termination, Licensee will stop using the Software and delete all copies. Synced data will be available for export for 30 days and deleted after 90 days. Sections 6 through 16 survive termination.

15. Export and compliance

Licensee will comply with U.S. export laws and will not use or transfer the Software in violation of them.

16. General

  • Governing law: State of [STATE]; venue in [COUNTY], [STATE], except where a government licensee's law requires otherwise.
  • Entire agreement: This EULA, the Terms of Service, the Privacy Policy, and any written quote form the complete agreement. A signed enterprise agreement controls over this EULA where they conflict.
  • Assignment: Licensee may not assign this agreement without Lionheart's written consent, except to a successor agency or entity with notice.
  • Severability: If any provision is unenforceable, the rest remains in effect.
  • Notices: to Lionheart at contact@tacmatrix.com; to Licensee at the email on the account.
