Lionheart LLC — TacMatrix HQ Effective date: [DATE]

These terms govern your use of tacmatrix.com and your purchase of licenses for TacMatrix applications from Lionheart LLC ("Lionheart," "we," "us"). Use of the applications themselves is governed by the End User License Agreement (EULA), which is incorporated here. If you buy on behalf of an agency or company, you confirm you have authority to bind it.

1. Licenses and tiers

We sell licenses, not software. Each purchase grants the rights described in the EULA for the tier you buy:

  • Operator — one named user, monthly or annual.
  • Team — up to 10 named users within one organization, annual.
  • Agency — up to 50 named users within one organization, annual.
  • Enterprise — seat count and terms set by written quote.
  • EP ADVANCE Lite — one named user, one-time purchase, no expiration, updates for the current major version.

A "named user" is one person. Seats may be reassigned when a user leaves the organization but may not be shared among people at the same time.

2. Ordering and payment

  • Payments are processed by Stripe. You agree to Stripe's terms for the transaction.
  • Prices are in U.S. dollars and exclude any applicable sales tax, which is added at checkout where required.
  • Subscriptions renew automatically at the then-current price until cancelled. We will email you at least 14 days before an annual renewal.
  • You can cancel a subscription any time through the customer portal linked in your receipt. Cancellation stops future charges; it does not refund the current period.
  • Purchase orders and invoices are available for Agency and Enterprise tiers. Invoices are due Net 30 unless the quote says otherwise. Access may be suspended for accounts more than 30 days past due.

3. Refunds

  • Subscriptions: full refund if requested within 14 days of the first payment. Renewals are not refundable, which is why we send renewal reminders.
  • EP ADVANCE Lite: full refund within 14 days of purchase.
  • Enterprise: as stated in the quote.

4. Delivery

Licenses are delivered by email within one business day of payment, with installation instructions. Delivery may be through TestFlight, the App Store, Apple Business Manager custom app distribution, or a web link, depending on the app and your organization's setup. You are responsible for having compatible devices (current iOS or iPadOS, or a modern browser for web apps).

5. Demos, quotes, and trials

Demo requests and quotes are not orders. Any trial access we grant is time-limited, may be revoked, and is subject to the EULA.

6. Acceptable use of the website

You agree not to attempt to gain unauthorized access to the site, scrape it, submit false information through forms, or use it to send spam or malicious content.

7. Intellectual property

TacMatrix, TacMatrix HQ, EP ADVANCE, OVERWATCH, BENCHMARK, SIGHTLINE, and associated logos, designs, and content are the property of Lionheart LLC. Nothing in these terms transfers ownership of any software or content to you.

8. Disclaimer

The website and applications are provided "as is." TacMatrix applications are planning and training aids. They do not replace professional judgment, agency policy, training, or command decisions. Lionheart does not warrant that any application is error-free or suitable for any particular operation.

9. Limitation of liability

To the fullest extent permitted by law, Lionheart's total liability for any claim related to the website or a license is limited to the amount you paid for that license in the 12 months before the claim. Lionheart is not liable for indirect, incidental, special, or consequential damages, including loss of data, injury, or operational outcomes, arising from use of the website or applications.

10. Indemnification

You agree to defend and indemnify Lionheart against claims arising from your organization's use of the applications in operations, training, or otherwise, except to the extent caused by Lionheart's gross negligence or willful misconduct.

11. Government customers

If you are a U.S. federal, state, or local government entity, the sections on indemnification, governing law, and dispute resolution apply only to the extent permitted by the laws that govern your entity.

12. Termination

We may suspend or terminate a license for non-payment or material breach of these terms or the EULA after notice and 15 days to cure. You may terminate at any time by cancelling. Sections 7 through 14 survive termination.

13. Governing law and disputes

These terms are governed by the laws of the State of [STATE], without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in [COUNTY], [STATE], and you consent to that jurisdiction. Before filing, both sides agree to try to resolve the dispute by good-faith discussion for 30 days.

14. Changes

We may update these terms. Changes take effect when posted. Material changes affecting active licensees will be emailed at least 30 days before they apply to renewals.
